Terms & Conditions

These Terms & Conditions (“Terms”) are a legally binding agreement between you and AMLI MEDIA PVT. LTD. (“Company”, “Amli Media”, “we”, “our”, or “us”).

1. Introduction

These Terms govern your access to and use of websites, dashboards, APIs, and related products located at amlimedia.com, amlinetwork.com, and their subdomains (including *.amlimedia.com and *.amlinetwork.com) (together, the “Service”), operated by AMLI MEDIA PVT. LTD.

If you access the Service on behalf of a publisher, advertiser, agency, demand partner, or other organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.

Our Privacy Policy also applies. These Terms and the Privacy Policy together form the “Agreements”. By using the Service you confirm that you have read and agree to be bound by the Agreements. If you do not agree, you must not use the Service. Questions: support@amlimedia.com.

These Terms apply to visitors, registered users, and anyone else who accesses the Service. Commercial use of the ad platform (SSP, DSP, white-label, or similar) may also be governed by an insertion order, master services agreement, or NDA. Where those documents conflict with these Terms, the signed commercial agreement controls for that relationship.

2. Communications

We may contact you using the email or other details you provide, including operational notices, billing, product updates, and (where permitted) marketing. You can opt out of marketing using the unsubscribe link in those messages. Transactional and service messages may still be sent where needed to operate your account.

3. Purchases and platform fees

If you buy products or services through the Service (including platform fees, data products, white-label licences, or prepaid media credit) (“Purchase”), you may be asked for billing details such as card or other payment method, billing address, and company information. Shipping details apply only if we sell a physical item.

You represent that (i) you are authorised to use the payment method, and (ii) the information you provide is true, complete, and current.

We may use third-party payment processors. By submitting payment information you authorise us to share it with those processors as described in the Privacy Policy.

We may refuse or cancel a Purchase for reasons including availability, pricing or description errors, suspected fraud, unauthorised or illegal activity, or other legitimate business reasons.

4. Contests, sweepstakes and promotions

Promotions offered through the Service may have separate rules. If those rules conflict with these Terms, the promotion rules apply to that promotion. Always read the applicable rules and the Privacy Policy before you enter.

5. Subscriptions

Some parts of the Service are billed on a recurring subscription (“Subscription”). Fees are typically charged in advance for each billing cycle, which depends on the plan you select.

Unless you or we cancel, a Subscription renews at the end of each cycle on the same terms. You may cancel renewal from your account tools, or by emailing support@amlimedia.com or billing@amlimedia.com.

You must provide accurate billing information (name, address, contact details, and a valid payment method). By submitting that information you authorise us to charge Subscription fees to that method. If automatic billing fails, we may suspend or terminate access immediately.

6. Free trial

We may offer a limited free trial at our discretion. You may be asked for billing details when you start a trial. We will not charge until the trial ends. Unless you cancel before then, we will charge the applicable Subscription fee. We may change or withdraw a trial offer at any time without notice.

7. Fee changes

We may change Subscription fees. A change takes effect at the end of the then-current billing cycle. We will give reasonable prior notice so you can cancel before the new fee applies. Continued use after the change takes effect is agreement to the new fee.

8. Refunds

If a master services agreement (MSA), insertion order, or NDA is in place, refunds follow that agreement. If no such agreement exists, eligible refunds are issued within 30 days of a valid written request, unless applicable law requires otherwise. Media spend already delivered through auctions is generally non-refundable except as required by law or a signed make-good clause.

9. Content

The Service may allow you to post, upload, or share text, creatives, tags, logs, or other material (“Content”). You are responsible for that Content, including legality and that you have the rights to use it.

You retain ownership of your Content. By posting it you grant us a licence to use, host, reproduce, display, and distribute it as needed to operate the Service (including making it available to other authorised users of the same account or campaign). We may monitor or remove Content, but we are not obliged to do so, and we are not liable for Content posted by you or third parties.

Site copy, software, documentation, and other materials we publish (other than user Content) are owned by AMLI MEDIA PVT. LTD. or our licensors. You may not copy or reuse them for commercial purposes without our prior written consent.

10. Prohibited uses

You may use the Service only lawfully. You agree not to:

• violate applicable law or regulation;
• exploit or harm minors, or expose them to inappropriate content;
• send spam, junk mail, or unsolicited promotional material through the Service;
• impersonate the Company, our staff, another user, or any other person;
• infringe others’ rights, or use the Service for fraudulent, threatening, or harmful activity;
• interfere with anyone else’s use of the Service, or expose us or other users to liability;
• overload, disable, or disrupt the Service or others’ real-time use of it;
• use bots, scrapers, or similar tools to copy or monitor the Service without our written consent;
• introduce malware, or attempt unauthorised access to systems, servers, or databases;
• launch a denial-of-service or similar attack;
• manipulate ratings or otherwise interfere with the proper working of the Service;
• bid, spoof, or traffic in ways that breach OpenRTB, partner policies, or brand-safety commitments you have agreed with us.

11. Analytics

We may use third-party providers to measure how the Service is used. See the Privacy Policy and Cookie Policy.

12. No use by minors

The Service is intended only for people who are at least 18 years old. By using it you confirm you are 18 or older and have capacity to enter these Terms. If you are under 18, you must not use the Service.

13. Accounts

When you create an account you must provide accurate, complete, and current information. We may suspend or close an account that is inaccurate or misused.

You are responsible for keeping credentials confidential and for activity under your account. Notify us immediately of any suspected breach. Usernames may not impersonate others, infringe trademarks, or be offensive.

We may refuse service, terminate accounts, remove Content, or cancel orders at our discretion where reasonably necessary to protect the Service, our partners, or the public.

14. Intellectual property

The Service and its original content, features, and functionality (excluding user Content) remain the exclusive property of AMLI MEDIA PVT. LTD. and its licensors, and are protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

15. Copyright policy

We respect intellectual property rights. If you believe Content on the Service infringes your copyright, email support@amlimedia.com with the subject “Copyright Infringement” and a detailed description of the claim. Bad-faith claims may expose you to damages, including costs and legal fees.

16. DMCA notice procedure

You may send a notification consistent with 17 U.S.C. § 512(c)(3) including: a signature of the copyright owner or authorised agent; a description of the work and where it exists; the URL of the allegedly infringing material on the Service; your contact details; a good-faith statement that the use is not authorised; and a statement under penalty of perjury that the notice is accurate and that you are the owner or authorised to act. 17. Error reporting and feedback

Feedback sent to support@amlimedia.com or via third-party tools may be used by us freely. You do not retain IP in Feedback; we may already be developing similar ideas; Feedback should not include confidential third-party information; and we have no confidentiality duty regarding Feedback. If ownership cannot transfer by law, you grant us an exclusive, transferable, irrevocable, royalty-free, sublicensable, perpetual licence to use Feedback for any purpose.

18. Links to other websites

The Service may link to third-party sites or tools we do not control (for example payment gateways, Google Sheets, CAPTCHA, or front-end libraries). We are not responsible for their content, policies, or practices. Your use of those services is at your own risk. Read their terms and privacy policies.

19. Disclaimer of warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, ABOUT OPERATION, CONTENT, OR MATERIALS, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR EXPECTATIONS. SOME WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

20. Limitation of liability

EXCEPT AS PROHIBITED BY LAW, YOU HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FROM INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LEGAL FEES) ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY. IF LIABILITY IS FOUND, IT IS LIMITED TO THE AMOUNT YOU PAID US FOR THE RELEVANT PRODUCTS OR SERVICES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THOSE LIMITATIONS MAY NOT APPLY TO YOU.

21. Termination

We may suspend or terminate your account and access immediately, without prior notice, including for breach of these Terms. You may stop using the Service to end your use. Provisions that by nature should survive (including IP, disclaimers, indemnity, and liability limits) survive termination.

22. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Failure to enforce a provision is not a waiver. If a provision is held unenforceable, the rest remains in effect. These Terms are the entire agreement regarding the Service, except where a signed commercial contract applies.

23. Changes to the Service

We may change or withdraw the Service or any material on it without notice. We are not liable if the Service is unavailable in whole or in part. We may restrict access from time to time, including for registered users.

24. Amendments to Terms

We may update these Terms by posting a revised version on this page. Continued use after changes take effect means you accept them. If you do not agree, you must stop using the Service. Review this page periodically.

25. Waiver and severability

No waiver of a term is a continuing waiver or a waiver of any other term. If a court finds a provision invalid, it will be limited to the minimum extent needed so the remaining Terms stay in force.

26. Acknowledgement

By using the Service you acknowledge that you have read these Terms and agree to be bound by them.
